We also provide counsel to banks and other financial institutions in connection with these transactions. We routinely close purchase and sale transactions.

We represent lenders and borrowers in connection with loan documentation and securitization and valuations, as well as in foreclosures and in sale-leasebacks. We draft security agreements, promissory notes, stock powers, mortgage notes and bonds, deeds, and deeds-in-lieu of foreclosure. We also handle work-outs and debt restructuring.

We further represent developers in obtaining zoning and feasibility studies, in site development and lot assemblage. We also provide representation as to Section 1031 like-kind, tax deferred exchanges.

We represent commercial and residential landlords and tenants in negotiating lease agreements, net leases, triple net leases, occupancy agreements, estoppel letters, work-letters, build-outs, rent escalation riders, condemnation and demolition clauses, personal guarantees, approval of plans and specifications, and in arranging for general liability and other insurance and in complying with local laws.
